Terms of Service

1. Acceptance of Terms

By accessing or using ZoneIQ ("the Service"), operated by Ortez Corporation ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

ZoneIQ is a software-as-a-service (SaaS) tool that automatically detects and corrects contact timezones within GoHighLevel (GHL) accounts by analyzing phone number area codes and state data. The Service integrates with GHL via official OAuth authorization.

3. Eligibility

You must be at least 18 years old and have a valid GoHighLevel account to use ZoneIQ. By using the Service, you represent that you have the authority to bind the entity on whose behalf you are using the Service.

4. Account Registration

You agree to provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

5. Pricing and Payment

• Monthly Plan: $29 per month, billed monthly
• Annual Plan: $290 per year, billed annually (equivalent to $24.17/month)
• Database Backfill: $49 one-time fee to scan and correct timezones on all existing contacts. Requires an active subscription.
• Money-Back Guarantee: 30-day money-back guarantee on all paid plans. Contact support@usezoneiq.com for a full refund within 30 days of your first payment.

Prices are in US dollars and may be subject to applicable taxes. We reserve the right to change pricing with 30 days' written notice.

6. Cancellation

You may cancel your subscription at any time from your account dashboard. Upon cancellation:

• Your access continues until the end of your current billing period
• Timezone corrections already applied to your contacts remain in place
• No further timezone detections will be processed
• No partial refunds for unused portions of the billing period (except within the 30-day money-back guarantee window)

7. GHL Account Access

By connecting your GHL account, you authorize ZoneIQ to:

• Read contact phone numbers and state/address fields
• Write corrected timezone values to contact records

ZoneIQ will not access any other data in your GHL account. You may revoke access at any time through your GHL account settings.

8. Accuracy Disclaimer

ZoneIQ provides timezone detection with approximately 95%+ accuracy for US phone numbers. This figure is an approximate estimate based on internal testing and is not a guarantee of performance for any specific account or dataset. Accuracy may be lower for ported numbers, VoIP numbers, or contacts without a state/address field. ZoneIQ is not a substitute for direct timezone confirmation from contacts. We are not liable for any consequences of incorrect timezone assignments.

8a. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, ORTEZ CORPORATION DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse-engineer, decompile, or extract the area code database
• Share your account credentials with unauthorized users
• Use the Service to send unsolicited communications or violate TCPA, CAN-SPAM, or similar regulations
• Exceed reasonable usage limits or abuse the API

10. Intellectual Property

ZoneIQ, its area code database, split-state intelligence algorithms, and all associated branding are the intellectual property of Ortez Corporation, doing business as ZoneIQ. You are granted a limited, non-exclusive, non-transferable license to use the Service for your business purposes.

11. Limitation of Liability

To the maximum extent permitted by law, ZoneIQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost revenue, lost profits, or loss of business, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless ZoneIQ from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by GoHighLevel platform issues, internet connectivity, or force majeure events.

14. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles.

16. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation for a period of at least 30 days. If negotiation fails, disputes shall be resolved through binding individual arbitration in accordance with the rules of the American Arbitration Association, conducted in Maricopa County, Arizona. Each party shall bear its own arbitration costs unless the arbitrator determines otherwise.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Ortez Corporation.

Small Claims Exception: Either party may bring an individual action in small claims court in Maricopa County, Arizona, for disputes within the court's jurisdictional limits.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms of Service, together with the Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and Ortez Corporation regarding your use of the Service. Marketing materials, website copy, and promotional statements do not form part of this agreement and are not binding representations or warranties.
